Introduction

Welcome to Sentry Scheduler, operated by Sentry AI Technology LLC (“we,” “us,” or “our”). Sentry Scheduler is a productivity platform that helps independent contractors in field services (e.g., plumbers, electricians, massage therapists) communicate with customers and schedule appointments (including SMS-based scheduling). The Service includes automated chat bot interactions, calendar integrations and appointment scheduling features, all as described in these Terms and accompanying documentation.

These Terms govern your access to and use of the Service via www.sentry-scheduler.com (the “Website”), the Sentry Scheduler mobile and desktop apps, and any related integrations and services (collectively, the “Service”). By creating an account or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.

Governing Law, Venue, and Disputes

  • Governing Law: These Terms are governed by the laws of the State of California, United States, without regard to its conflict of laws principles.
  • Dispute Resolution: Any disputes arising in connection with these Terms or the Service will be resolved by binding arbitration in California, administered by the American Arbitration Association (AAA) or a mutually agreeable provider, in accordance with its then-current rules.
  • Class Action Waiver: To the maximum extent permitted by law, any dispute resolution shall be individual and not consolidated with other claims or parties, and class actions are not permitted.
  • Injunctive Relief: Notwithstanding the foregoing, either party may seek temporary or preliminary injunctive relief from a court of competent jurisdiction to protect confidential information or enforce intellectual property rights.

Definitions

  • “Service” means the Sentry Scheduler platform, including the website, applications, APIs, integrations (e.g., Google Calendar), chat bot, scheduling features, messaging capabilities, networking features, and related services.
  • “User,” “you,” or “your” means the individual contractor or entity that uses the Service in accordance with these Terms.
  • “Pro License” and “Standard License” refer to the tiers described in these Terms and in the product documentation.
  • “Personal Data” has the meaning given in the Privacy Policy.

Eligibility and Account Registration

  • Eligibility: You must be an individual contractor at least 18 years old and capable of entering into contracts under applicable law.
  • Account Information: You must provide accurate, complete information (name, email, and a valid payment method). You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
  • Payment Method: You authorize us to charge the payment method associated with your account for all applicable fees in accordance with these Terms and the Pricing details.

Services and How They Work

The Service comprises:

  • Conversational messaging chat bot interactions with customers to answer questions about services, pricing, and scheduling availability.
  • Scheduling functionality, including SMS-based scheduling, to create, modify, or cancel appointments.
  • Calendar integrations (e.g., Google Calendar) and other integrations as described in the product documentation.

You agree to use the Service only as permitted and in compliance with applicable laws. Prohibited uses include deceptive practices, spamming clients, attempting to disrupt the Service, or infringing the rights of others.

Subscriptions, Billing, and Refunds

Plans and Pricing (monthly, auto-renewing):

  • Standard: $29 per month with a 7-day free trial.
  • Pro: $59 per month with a 7-day free trial.
  • Billing: Fees are billed monthly in advance. Payments are processed by a third-party processor (Polar) and may be subject to taxes as required by law.
  • Refunds: There are no refunds. You may cancel anytime; access remains active until the end of the current billing period.
  • Proration: Upgrades or downgrades are prorated where applicable.

Automated Chat Bot, Data Handling, and AI Improvements

  • Conversational Messaging: The Service uses an automated chat bot to answer questions and present scheduling options. If the bot cannot answer a question, a human independent contractor may manually address the issue through the app.
  • Conversation History: The chat bot stores conversation history to improve responses specific to the contractor and their customers.
  • Human Oversight: The bot's interactions may be reviewed by authorized personnel to improve performance, quality, and compliance, subject to privacy and security policies.
  • Opt-Outs: If you or your customers opt out of the messaging service by replying STOP to any message, automated messages will cease. You may still send messages manually through the app. Reply HELP for assistance.
  • Data Use for AI Improvement: Data collected from chats (including names, contact details, scheduling data, and client communications) may be used to improve AI responses and the Service. Data is not sold to third parties; it is used internally to enhance the Service, except as required by law or as described in the Privacy Policy.
  • Data Retention and Deletion: Data is retained in accordance with our Privacy Policy and your account deletion. If an account is suspended for non-payment or remains inactive, data will be deleted after 90 days.

SMS/Text Messaging Consent

  • Consent: By providing your phone number and opting in, you consent to receive SMS/text messages from Sentry Scheduler related to appointment scheduling, reminders, confirmations, and service communications.
  • Not a Condition of Service: Consent to receive text messages is not a condition of purchasing any goods or services, creating an account, or accessing the Service.
  • Message Frequency: Message frequency varies based on your scheduling activity.
  • Message and Data Rates: Message and data rates may apply. Contact your wireless carrier for details about your messaging plan.
  • Opt-Out: You can opt out at any time by replying STOP to any message. After opting out, you will receive a one-time confirmation message. Reply HELP for assistance.
  • No Sharing of Consent Data: Consent data and mobile information collected for SMS opt-in will not be shared with third parties or affiliates for marketing or promotional purposes.

Scheduling and Calendar Integrations

  • Calendar Access: By enabling integrations (e.g., Google Calendar), the Service may access data necessary to schedule, modify, or cancel events.
  • Accuracy and Conflicts: You are responsible for ensuring event details (time, location, services) are accurate. We are not liable for scheduling conflicts caused by external calendar data or integration outages.

Pro Licenses: Features and Limits

  • Standard License: Conversational messaging and automated scheduling for existing customers.
  • Pro License: All Standard features plus automated scheduling for new customers and calendar integrations.
  • Availability and quotas: Feature availability, limits, and quotas are described in the product documentation and in-app notices and may be updated from time to time.

Third-Party Services and Data Sharing

The Service integrates with third-party services (e.g., Google Calendar). Your use of these services is subject to their terms and privacy policies. We share only the minimum data necessary to operate the Service and as described in the Privacy Policy. We do not sell Personal Data to third parties.

Intellectual Property

  • Our IP: Sentry Scheduler and all underlying software, interfaces, and branding are owned by Sentry AI Technology LLC.
  • User Content: You own the content you upload or generate within the Service (e.g., scheduling data, messages). By using the Service, you grant us a worldwide, royalty-free, transferable license to host, process, and analyze this content to provide and improve the Service.
  • Feedback: If you provide feedback, you grant us a non-exclusive, perpetual license to use it.

Privacy and Security

  • Privacy Policy: Our Privacy Policy explains data collection, use, retention, and your rights.
  • Security: We implement reasonable administrative, technical, and physical safeguards to protect data. However, no security measures are foolproof.
  • Data Transfers: If you are located outside the United States, data may be transferred to the United States or other jurisdictions in accordance with the Privacy Policy and applicable law.

Data Retention, Deletion, and Termination

  • Termination by You: You may terminate by deleting your account within the app. Upon deletion, all user data, including chat history, will be deleted within 24 hours, subject to the Privacy Policy.
  • Termination by Us: We may terminate or suspend access for violations of these Terms or non-payment. Upon termination, data deletion will follow the retention policies described in the Privacy Policy.
  • Post-Termination: After deletion, residual data may remain in backups for a limited period in accordance with our data retention practices and legal obligations.

Accuracy, Security, and Availability

The Service is provided on an “as is” and “as available” basis. We do not warrant that the Service will be uninterrupted or error-free. We do not warrant that AI responses will always be accurate or appropriate for every context.

Support

  • Support Channels: Email support and in-app help.
  • Response Time: We aim to respond within 48 hours during business days.
  • Escalation: For urgent issues, please indicate the severity in your message.

Prohibited Conduct

You agree not to misuse the Service, including but not limited to: sending unsolicited messages, misrepresenting services, attempting to manipulate scheduling, attempting to access other users' data, or violating any applicable law or third-party rights.

Disclaimers and Limitation of Liability

  • Disclaimers: The Service is provided “as is” and “as available.” We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
  • Limitation of Liability: To the maximum extent permitted by law, our aggregate liability for any claims arising out of or relating to these Terms or the Service shall not exceed the greater of (i) the amount paid by you for the Service in the preceding 12 months, or (ii) $100. This limitation does not apply to liability arising from gross negligence, willful misconduct, or violations of applicable law or data protection requirements where such limitation is unenforceable.

Indemnification

You agree to indemnify, defend, and hold harmless Sentry AI Technology LLC and its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses arising from your use of the Service, your content, your violation of these Terms, or your infringement of third-party rights.

Termination

We may suspend or terminate your access for violations of these Terms, non-payment, or illegal or harmful activities. Upon termination, you will lose access to the Service and any data retention will be governed by the Privacy Policy. If you terminate, you may export your data where available. We will provide data export options and deletion timelines in accordance with the Privacy Policy.

Modifications to the Service and Terms

We may modify the Service or these Terms at any time. Material changes will be communicated via in-app notifications and email as required by law. Your continued use of the Service after such changes constitutes acceptance of the modified terms.

Notices

We may provide notices to you via in-app messages or to the email address associated with your account.

Entire Agreement; Relationship of the Parties

These Terms, along with the Privacy Policy and any applicable DPA, constitute the entire agreement between you and us regarding the Service and supersede all prior agreements. No agency, partnership, or joint venture is created by these Terms.

Export Controls

You agree to comply with all applicable export and re-export control laws and regulations.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect. If any unenforceable provision can be modified to be enforceable, it will be construed accordingly.

Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign or transfer our rights and obligations freely.

Privacy Policy and Data Processing Addendum

Your use of the Service is also governed by our Privacy Policy, which is incorporated by reference. If you process Personal Data on behalf of contractors, a Data Processing Addendum (DPA) may apply; please review and accept it where applicable.

Appendix A: Pricing and Billing Details

  • Standard: $29 per month, 7-day free trial. Auto-renewing monthly.
  • Pro: $59 per month, 7-day free trial. Auto-renewing monthly.
  • Taxes: Applicable taxes are the responsibility of the user.
  • Refunds: No refunds; cancellations allowed to stop future billing at the end of the current period.
  • Payment Processor: Polar (credit card processing). You authorize Stripe or Polar as applicable to process payments on our behalf.

Appendix B: Data Handling Highlights (Summary)

  • Data Collected: Name, email, contact info, payment details, schedule data, client communications, chat transcripts.
  • Use of Data: To operate the Service and improve AI responses; internal analytics; support.
  • Data Sharing: No sale of Personal Data; data shared only as necessary to operate the Service or as required by law; third-party processors (e.g., Polar, cloud providers) may handle data under our instructions.
  • Data Retention: Per Privacy Policy; data may be retained after account deletion for backup/obligation reasons per policy.
  • Data Deletion: User-initiated deletion deletes data within 24 hours for active accounts; post-termination deletion follows retention policy.
